Terms of Service

These Terms of Service govern your access to and use of soundOS, including the soundos.app website, the authenticated dashboard, hosted APIs, and related cloud-backed product features operated by SemSwitch, Inc.

By accessing or using soundOS, you agree to these Terms.

If you do not agree, do not use soundOS.

1. Scope

These Terms apply to the soundOS website and hosted services.

If you install or use the soundOS desktop application, the soundOS EULA also applies. If these Terms conflict with the EULA, the EULA controls with respect to the desktop software, and these Terms control with respect to the website and hosted services.

Your use of soundOS is also subject to the Privacy Policy and any applicable billing or feature-specific terms presented to you.

2. Eligibility and authority

You may use soundOS only if you are legally able to enter into this agreement.

If you use soundOS on behalf of a company, team, or other organization, you represent that you have authority to bind that organization to these Terms, and "you" includes that organization.

3. Accounts and access

Some parts of soundOS require an account and an authenticated session.

You agree to:

  • provide accurate account information
  • keep your credentials secure
  • use only accounts and workspaces you are authorized to use
  • promptly notify us if you believe your account has been compromised

You are responsible for activity that occurs through your account or workspace access.

4. Using soundOS

Subject to these Terms, soundOS gives you a limited, revocable, non-exclusive, non-transferable right to access and use the soundOS website and services for your internal personal or business use.

soundOS may include:

  • website and dashboard access
  • cloud-backed workspace and orchestration features
  • voice-driven workflows
  • session history, receipts, approvals, and artifact-related features
  • account-level settings and sync
  • paid, trial, limited, beta, or gated features

Access to some features may require an active subscription, entitlement, trial, or separate billing relationship.

We may add, remove, change, limit, or discontinue features at any time.

5. Local execution and provider access

soundOS includes product flows that may interact with local execution environments and third-party providers.

For example:

  • the desktop experience may launch local terminal sessions or interact with local tools on devices you control
  • soundOS may invoke external speech, model, or provider services when you use the relevant feature
  • you may choose to connect or save third-party provider credentials for supported workflows

You are responsible for the devices, repositories, files, prompts, commands, environments, and provider accounts you connect to soundOS.

If you supply third-party provider keys or choose provider-backed features, you authorize soundOS to use those credentials and route your requests to the selected provider as needed to operate the feature.

6. Acceptable use

You may not use soundOS to:

  • violate law or regulation
  • infringe or misappropriate the rights of others
  • access, interfere with, or use another person's account, workspace, or data without authorization
  • upload or submit content you do not have the right to use
  • distribute malware, spam, abusive automation, or harmful code
  • probe, scan, exploit, or bypass security controls, rate limits, authentication, or access restrictions
  • disrupt the integrity, availability, or performance of soundOS or related infrastructure
  • use non-public product behavior, interfaces, or access to develop, validate, benchmark, or improve a competing service
  • reverse engineer or extract protected non-public service behavior except where applicable law clearly permits it

You also may not use soundOS in a way that creates legal, security, operational, or reputational risk for us, our providers, or other users.

7. Your content and outputs

You may provide prompts, commands, audio, text, files, configurations, and other materials through soundOS. Those materials are your User Content.

As between you and SemSwitch, Inc., you retain your rights in your User Content.

As between you and SemSwitch, Inc., and subject to applicable law and any third-party provider terms, you also retain your rights, if any, in outputs, transcripts, reports, artifacts, and other materials generated for you through your authorized use of soundOS.

You grant us and our service providers a limited right to host, process, transmit, store, reproduce, and display your User Content and outputs solely as needed to operate, secure, support, and improve soundOS.

You are responsible for:

  • the legality of your User Content
  • obtaining any permissions needed to submit it
  • reviewing outputs before relying on them
  • deciding whether soundOS is appropriate for your particular workflow or data sensitivity

8. Third-party services and open-source software

soundOS may depend on or interoperate with third-party services, APIs, model providers, speech providers, communications providers, and open-source components.

Those third parties may have their own terms, privacy policies, and license terms. We do not control third-party services, and we do not guarantee that any third-party integration will remain available, unchanged, or compatible.

Open-source components included in or used by soundOS remain governed by their applicable open-source licenses.

9. Ownership

soundOS is licensed, not sold.

SemSwitch, Inc. and its licensors retain all rights, title, and interest in and to soundOS, including the website, hosted services, software, visual design, documentation, protocols, session and orchestration architecture, and related intellectual property.

Except for the limited rights expressly granted in these Terms, no rights are granted to you.

10. Feedback

If you send us suggestions, ideas, improvements, or other feedback about soundOS, you grant us a worldwide, perpetual, irrevocable, non-exclusive, royalty-free right to use, modify, incorporate, and exploit that feedback without restriction or compensation to you.

11. Paid features, trials, and billing

Some soundOS features may be free, limited, trial-based, subscription-gated, or otherwise paid.

If you purchase or use a paid feature, you agree to any pricing, billing, renewal, cancellation, refund, and usage terms presented at purchase or on the applicable billing page.

If a trial expires, a subscription lapses, a payment fails, or an entitlement ends, we may limit or suspend access to some or all paid or online features.

12. Suspension and termination

We may suspend or terminate your access to soundOS, in whole or in part, if:

  • you violate these Terms
  • your use creates legal, security, abuse, or operational risk
  • payment or entitlement requirements are not met
  • we are required to do so by law or by a provider requirement
  • continuing to provide access is no longer commercially or technically feasible

You may stop using soundOS at any time.

Upon termination, your right to use soundOS ends immediately, but provisions that by their nature should survive will survive, including provisions relating to ownership, disclaimers, limitations of liability, disputes, and feedback.

13. Service availability and disclaimers

soundOS is a live software and service environment. Features may evolve. Services may experience outages, delays, errors, or provider-side failures.

To the maximum extent permitted by law, soundOS is provided "as is" and "as available." We disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and uninterrupted or error-free operation.

We do not guarantee that outputs, transcripts, automations, approvals, receipts, or other results generated through soundOS will be correct, complete, secure, or fit for your intended use.

14. Limitation of liability

To the maximum extent permitted by law, SemSwitch, Inc. and its affiliates, licensors, service providers, and suppliers will not be liable for any indirect, incidental, special, exemplary, consequential, or punitive damages, or for any loss of profits, revenue, goodwill, data, business opportunity, or business interruption arising out of or relating to soundOS or these Terms.

To the maximum extent permitted by law, the total aggregate liability of SemSwitch, Inc. for all claims arising out of or relating to soundOS or these Terms will not exceed the greater of:

  • the amount you paid to us for soundOS during the three months before the event giving rise to the claim, or
  • USD $100

15. Governing law and venue

These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or soundOS will be brought exclusively in the state courts located in Denton County, Texas, or the United States District Court for the Eastern District of Texas, and each party consents to the personal jurisdiction and venue of those courts.

16. Changes to these Terms

We may update these Terms from time to time.

If we make material changes, we may update the date above and, where appropriate, provide additional notice. Your continued use of soundOS after updated Terms take effect means you accept the updated Terms.
